Constitutional Convention

For many years the Race Team has operated in effect as a subsidiary of the Club. The FFBC Board and Team management have agreed that the time is right for the relationship to be formalized. This is expected to be achieved through some constitutional changes.

For the first time the Team will have a constitution and it is proposed that the Team be constituted as a tax-exempt 501(c)(3) subsidiary of the Club. An amendment will be necessary to the Club's constitution to reciprocate this relationship. It is expected that there will be
cross-representation between the two Boards.

Tax-exempt status will help the Team's quest for sponsors, enabling a potential sponsor to gain a tax benefit from supporting the Team. This is not a unique relationship - we know that the Valley Spokesmen Club has this structure.

The exact structure and wording of the constitutional changes are to be proposed by a committee with representation from both the Club and Team. From the Team's side, we have some familiar names: Jason Sage, Garry Birch & Richard Brockie. We would like 3 representatives from the Club to complete the committee with the goal to propose the amendments in time for voting at the February Club meeting.

If the proposed constitutional changes are approved, it will then be necessary to incorporate the Team, a process which requires an attorney.

2007 Membership Dues

Annual club membership fees are due and must be mailed to the club post office box through January 2007 in order to be eligible to lead club rides and to continue receiving Pedal Pounder credit.  A membership form can be found linked to this newsletter at:
