CONSTITUTION AND BY-LAWS

CONSTITUTION
ARTICLE I. NAME
This organization shall be known as the Fremont Freewheelers Bicycle Club, Incorporated
ARTICLE II. PURPOSE
The purpose of this organization is to:
- Promote bicycling for recreation, health, and pleasure, and as a means of transportation for commuting and shopping.
- Promote bicycle touring and arrange bicycle rides to fit varying skills.
- Sponsor bicycle events such as touring rides, bicycle rallies and family activities.
- Sponsor bicycling racing by establishing and assisting with a subsidiary corporation known as the Fremont Freewheelers Race Team Inc, a non- profit organization
ARTICLE VI. MEETINGS
Section 1 There shall be a minimum of six (6) general business meetings in a calendar year at such place and hour as the Board of Directors shall designate. Such meetings shall be open to all club members.
- There must be a meeting at least one month before the Club's annual sponsored touring ride.
- There must be a meeting the month of the Club's annual sponsored touring ride.
- There must be a meeting the month of the Club's subsidiary's annual sponsored race.
- There must be a meeting the month of August to present nominations for the Board of Directors.
- There must be a meeting the month of September to hold elections of the Board of Directors.
- There must be a meeting in the month of November to present the annual fiscal budget to the general membership.

ARTICLE IV. OFFICERS
Section 1 The officers of the team shall consist of a President, a Vice President, a Captain, a Secretary, a Promoter, a Treasurer as elected by the Parent Organization, The Fremont Freewheelers Bicycle Club. For Voting Purposes all Officers will be considered Fremont Freewheelers Race Team Members.
Section 4 The Treasurer shall receive the money due the team and upon order of approval of the Board of Directors, shall pay money on behalf of the team. The Treasurer shall deposit the funds of the team in accordance with instructions received from the Board of Directors. He/She shall prepare an annual financial statement to be presented at the annual board meeting of the Team. Checks of the team shall be signed by either the President, Vice President, Secretary, or Treasurer. Checks over an amount to be determined by the Board require two signatures. The Treasurer will be appointed by the Fremont Freewheelers Bicycle Club, the parent organization. The Treasurer will only be required to attend the annual board meeting and as requested.
ARTICLE IV. AMENDMENTS
Bylaws may be amended at any regularly scheduled meeting or at a special meeting of the club upon two-thirds vote of the members present, provided twenty-one (21) days previous notice of the proposed amendment has been given in writing to each member. Publication must be in writing and provided to all persons on the regularly maintained newsletter mailing list.
Final Words
My first edition as editor rolled out on July 2005 covering for Brad. Using the powerful Publisher software was time consuming to get the results just right. Thank god that the club wanted to save some money on postage and printing costs. It also simplified the newsletter business by outsourcing the publishing for a small fee to be what we have today. It took a “tiger team” committee just a couple meetings to make the move. We can thank Jamie for the knowledge.
This frees me up to help out on other committees. I'm looking forward to having these little projects started and completed.
For those of you that are remotely interested in taking a command position with the club, I highly recommend you give it a try. As you know there is quite a bit of baggage the club carries around and I'm not even sure what it is. It's there, just like gravity. You can still make a difference, and give your ideas a try. The way I see it, by being on the board, you can present and discuss your ideas and move them forward. It's team building, bottoms up. That's where it should be a grass-roots effort. The club long ago created this board of directors as the decision making body for the club as a whole, it's the board that makes decisions for us and the membership that is informed of them. As a board member you can take control and move your ideas forward. That is what you are elected to do.
So put your heads together and pick a running mate, come up with your ideas of what we should be doing as a club, including riding of course, and go for it.
Before I forget, this is my last edition. I want to thank everybody for their comments and input in putting out a Spoke'n Truth. Starting in September, Wei will be taking over as Editor and I am confident he will do a do an excellent job and put his view on things.
